Company Law in Practice provides a detailed overview of the salient topics in company law which the junior practitioner is most likely to encounter in the first years of practice. Such key topics covered include the constitution of companies, share and loan capital, directors' and shareholder meetings, the role and duties of directors, shareholder protection, insolvency and compulsory winding up. All topics contained in the manual have been fully revised in light of the Companies Act 2006. Chapter 3 on the constitution of companies has been comprehensively revised to take into account the implementation of the Companies Act 2006 and the new Model Articles for companies.
The text also includes a worked example featuring re-drafted particulars of claim and an opinion following the codification of director's duties in the Companies Act 2006.
